Don't Miss out on any Government and Institutional Loan Anymore

As time goes on, unless you have a rich uncle funding your business from his pockets, you will need loans. Loans will keep you afloat for a while until you start making just enough profit to cover for the cost of operation. Submitting proof of registration immediately makes you eligible for the grants. It does not matter what the other criteria are and if you meet them, if you have not registered your business, you will not be considered and that’s that.

Legal Status

Significance of filing Annual returns

1) It enables companies to process and access post-incorporation services from the CAC, e.g request Certified True Copies (CTC) of Incorporation documents, carry out increases in share capital, changes to business objects or registered addresses, and changes to directors, partners, or trustees. If annual returns are not filed on time and any applicable penalties have not been paid in full, CAC will not provide any post-incorporation services to any registered entity.

EXTRAORDINARY GENERAL MEETING

(1) The board of directors may convene an extraordinary general meeting whenever they deem fit, and if at any time they are not within Nigeria, sufficient directors capable of acting to form a quorum, any director may convene an extraordinary general meeting.

(2) An extraordinary general meeting of a company may be requisitioned by any member or members of the company holding at the date of the requisitionbnot less than one-tenth of the paid up capital of the company as at the date of the deposit carrying the right of voting, or in the case of a company not having a share capital, members of the company representing not less than one tenth
of the total voting rights of all the members.

Having at the said date a right to vote at general meetings of the company, and the directors shall on receipt of the requisition immediately proceed to convene an extraordinary general meeting of the company, notwithstanding anything in its articles.

(3) The requisition shall state the objects of the meeting, and be signed by the requisitionists and deposited at the registered office of the company, and the requisition may consist of several documents in like form each signed
by one or more requisitionists.
