To register an NGO, one need to follow laid down process. It's registration is peculiar in that it can only be done under Part A of the Companies and Allied Matters Act as a company limited by guarantee or by Part C of the Company and Allied Matters Act as Incorporated Trustees.

The definition of Non-governmental organisations (NGOs) covers all organisations that do not exist to make profits for owners or members. It does not cover private companies or even co-operatives or income generating projects that exist solely to produce benefits for members.

Most Non-governmental organisations (NGOs) have to rely on grants and donations from fundraising because Non-governmental organisations (NGOs) usually serve sections of the community that could not afford to pay the full cost of the service. NGOs do not usually choose their target groups according to who can pay for the service, but according to who needs the service most.

Living in a country where many of its citizens are subjected to untold hardship, emotional trauma, poverty, etc. The presence of NGOs helps to bring the solution to such problems and ensuring that it is reduced to the minimum.
There are many people out there who seek help which the Government cannot necessarily provide due to poor administration and the NGOs exist to ensure such help is provided to such distressed citizens.

Duties of a Director

(1) A director of a company stands in a fiduciary relationship towards the company and shall observe utmost good faith towards the company
in any transaction with it or on its behalf.
(2) A director owes fiduciary relationship with the company where—
(a) a director is acting as agent of a particular shareholder ; or
(b) though, he is not an agent of any shareholder, such a shareholder or other person is dealing with the company’s securities.
(3) A director shall act at all times in what he believes to be the best interests of the company as a whole so as to preserve its assets, further its business, and promote the purposes for which it was formed, and in such manner as a faithful, diligent, careful and ordinarily skilful director would act in the circumstances and, in doing so, shall have regard to the impact of the company’s operations on the environment in the community where it carries on business operations.
