In law of contracts generally, warranty means a condition in the commercial contract the breach of which entitles the aggrieved party to sue for damages. In insurance contract, warranty goes to the root of the contract as its breach entitles the aggrieved party to avoid the contract.

Section 34 (1) of Marine Insurance Act 1961 defines a warranty as: a promissory warranty, that is to say a warranty by which the assured undertakes that some particular thing shall or shall not be done or that some condition shall be fulfilled, or whereby he affirms or negates the existence of a particular state of facts.

Therefore, a warranty is an undertaking by the insured that something shall be done or shall not be done, or certain state of fact exists or does not exist. It must be strictly and literally complied with by the insured otherwise its breach renders the contract voidable.
